    This contract is between A&A-SafeBuyPortal (the "Business") and the "Client" (noted above) dated as of the email receipt date of signed and paid membership.
    The purpose of this Agreement is to grant the Client access to a comprehensive suite of monthly and annual business support services under a paid membership program.

    Terms:

    1. Purpose Of Agreement

    The purpose of this Agreement is to grant the Client access to a comprehensive suite of monthly and annual business support services under a paid membership program.

    2. Term and Renewal

    This Agreement begins on the Effective Date noted in the
    "Parties Involved" section and continues for twelve (12) months, unless terminated earlier under the terms outlined herein.
    It automatically renews for additional one-year periods unless either party provides written notice of non-renewal at least 30 days prior to the expiration date.

    3. Membership Fees

    The Client agrees to pay an annual membership fee based on business size:

    - Medium Size Business: $500.00/year

    Fee is due in full at the start of the membership term and is non-refundable unless otherwise agreed upon in writing.

    4. Services Included

    Provider will deliver the following value-focused services:

    Services:

    - Government-Grade Cybersecurity protocols/tips/recommendations/updates/compliances & MORE
    - Business Insurance insights/alerts/changes/compliances/implementations/Risk Checklists & MORE
    - Marketing suggestions/strategies/outlines tailored to small-medium businesses & MORE
    - Growth and operational checklists/Competitor Analysis Reports/SEO & Keyword Usage Tips and Tactics
    - Industry-Specific Webinars/digital downloads/Topic-Specific Educational Books, Classes, Certifications & MORE (sometimes at an additional cost)
    - Early access to workshops/webinars/conferences & MORE

    BONUS:

    Access to various types of:

    * Cyber Defense Services
    * Cyber Insurance Products
    * Partnership Opportunities

    5. Client Responsibilities

    Client agrees to provide business-size classification accurately and timely payment(s).
    Failure to do so may result in suspension or termination of services without refund.

    6. Confidentiality

    Both parties agree to maintain the confidentiality of proprietary information exchanged during the membership term.

    7. Limitation of Liability

    Provider shall not be liable for any indirect, incidental , or consequential damages arising from use or non-use of the services.
    All services are provided for informational and strategic planning purposes only.

    8. Termination

    Either party may terminate this Agreement with written notice for cause, including breach of agreement terms or non-payment.
    No refunds shall be issued after services are rendered or delivered.

    9. Governing Law

    This Agreement shall be governed by and interpreted in accordance with the laws of the state of Virginia

    10. Entire Agreement

    This document represents the entire agreement between the parties.
    No verbal or written representations outside this agreement are binding unless amended in writing and signed by both parties.

    The parties have executed this Membership Agreement on the date first written

    This contract may be signed electronically or in hard copy. If signed in hard copy, it must be returned to the Business for valid record.
    ​Electronic signatures count as original for all purposes.
